Wholesale Vehicle Sale Contract: Terms and Conditions

1. Payment Validation and Documentation

• Receipt Requirement: Payment for the vehicle specified in this contract will only be validated and considered complete upon the issuance of an official, written receipt from Republic Auto Group.

• Bill of Sale Limitations: This Bill of Sale does not constitute proof of payment or serve as a financial receipt.

2. Arbitration Policy and Dispute Resolution

One Click LLC arbitration policies are written with the buyer in mind to establish long-term relationships based upon trust and transparency. This Arbitration Policy (“Policy”) governs the resolution of disputes between Republic Auto Group and its customers.

All arbitration proceedings will strictly follow the National Auto Auction Association (NAAA) arbitration guidelines unless explicitly stated otherwise in the sections below.

Section 1: Covered Claims and Financial Thresholds

Dispute resolutions, price adjustments, and vehicle repurchases are strictly categorized by the monetary value of the validated defect or claim:

• Claims less than $500: These claims are not arbitrable under any circumstances.

• Claims between $501 and $2,000: Republic Auto Group will issue appropriate financial adjustments to resolve the dispute.

• Claims of $2,001 or more: Republic Auto Group will, at its sole discretion, issue a financial adjustment or repurchase the vehicle.

Repurchase and Transportation Reimbursement Rules:

• If a vehicle repurchase is approved, the buyer will be reimbursed for the original vehicle purchase cost.

• Transportation costs for approved repurchased vehicles will be reimbursed at a rate of up to $0.70 per mile.

• If the buyer utilized One Click LLC transportation services, the full, actual amount of the transport fee will be reimbursed.

Section 2: Covered Time Frames and Eligibility

Vehicles must meet strict temporal deadlines to remain eligible for arbitration:

• Standard Purchases: Vehicles are eligible for arbitration for up to 30 days from the official purchase date.

• Expiration: Any claim submitted outside of these specified windows will be deemed untimely and automatically disqualified from arbitration.

Section 3: Wholesale Transaction Disclosure

NOTICE TO BUYER:

This vehicle is being sold in a wholesale transaction between licensed motor vehicle dealers. The Buyer hereby acknowledges and agrees to the following terms and conditions of this sale:

• Dealer-to-Dealer Sale: This transaction is strictly a wholesale transfer pursuant to Florida Statutes Section 320.27. The Buyer warrants they hold a valid, current motor vehicle dealer license and are purchasing this vehicle for resale purposes.

• "As-Is" Condition: The vehicle is sold "AS-IS" and "WITH ALL FAULTS." The Seller makes no explicit or implied warranties, representation, or guarantees regarding the mechanical condition, roadworthiness, safety, or merchantability of the vehicle.

• Inspection: The Buyer acknowledges they have been given full opportunity to inspect the in accordance with the One Click LLC Arbitration policy.

• Odometer Disclosure: The Seller will provide an Odometer Disclosure Statement reflecting the mileage at the time of transfer. The Buyer accepts responsibility for verifying its accuracy before completing the transaction.

• Title Transfer: The Seller covenants that they have lawful authority to sell the vehicle and will deliver a clear, transferable title within the timeframe permitted under Florida administrative rules.
